Terms of Service

These terms govern your use of Lithic’s services. Lithic Digital is a sole proprietorship operated by Kevin Stone (“Lithic,” “we,” “us”). “You” means the business that signs up for the service and the people it authorizes to use it. Using the service means you accept these terms.

Two related documents sit beside this one. Our Privacy Policy describes what data we handle and why. Our SMS Terms govern the text-messaging programs themselves, including the disclosures your customers receive. Where they address a subject specifically, they control over this page.

What Lithic does

Lithic answers and follows up on missed calls, sends and receives text messages on your behalf, triages business email, keeps your schedule, and gives you a way to run the business from a text thread. Which of those are active depends on what you have enabled. We may change, add, or withdraw features; if we withdraw something you rely on, we will tell you before we do.

Your account

  • You are responsible for what happens under your account, including anything your staff or an authorized user does.
  • Keep your sign-in credentials to yourself. Tell us promptly if you think someone else has them.
  • You must be authorized to act for the business you register, and old enough to enter a contract.
  • Information you give us — your business details, service area, hours, and pricing — needs to be accurate, because Lithic relies on it when it speaks to your customers.

What you are responsible for

Lithic acts on your behalf, which means some obligations remain yours and cannot be passed to us:

  • Consent. You may only ask Lithic to message people who have given you documented consent to be messaged. Uploading a purchased or scraped list is a breach of these terms and of the carrier rules we both operate under.
  • The work itself. Lithic schedules and communicates. It does not perform HVAC or any other trade work, hold your licenses, or carry your insurance.
  • What you promise customers. Prices, warranties, and commitments are yours. Lithic is configured not to quote binding prices or guarantee arrival times, but you own what your business agrees to.
  • Legal compliance. Licensing, tax, employment, and advertising rules in your jurisdiction are yours to meet.

Automated and AI-assisted messages

Some replies are drafted by AI language models. Lithic is built so that a model can propose but not decide: anything consequential — sending a campaign, changing a schedule, spending money — requires a human approval from you before it happens. Routine confirmations and replies within the rules you configure are sent automatically, and that is the point of the product.

AI-generated text can still be wrong. Review what you approve. Where a message is sent automatically under settings you chose, the message is attributable to your business, and you should configure those settings accordingly. Our Privacy Policy describes how data reaches a model and the routing restrictions that apply.

Connected accounts

You can connect third-party accounts — a Google Calendar, a Business Profile, a mail provider. You keep control of those: connect and disconnect whenever you like, and disconnecting deletes the stored credentials. You are responsible for having the authority to connect an account. We use the access only to provide the features you enabled, as described in the Privacy Policy, and those providers’ own terms continue to apply to your relationship with them.

Fees

Paid plans are billed in advance on a recurring basis through Stripe until cancelled. Telephony, messaging, and AI usage may be billed as metered charges on top of a plan fee where your plan says so. We will tell you before a price change takes effect, and you can cancel rather than accept it. Fees already paid are non-refundable except where the law requires otherwise or we have agreed in writing.

Acceptable use

You agree not to use Lithic to:

  • Send messages to anyone who has not consented, or who has replied STOP.
  • Send unlawful, deceptive, harassing, or fraudulent content, or anything a carrier prohibits.
  • Impersonate another business or person.
  • Attempt to break, overload, reverse-engineer, or gain unauthorized access to the service or another tenant’s data.
  • Resell the service without a written agreement with us.

We may suspend an account immediately where continuing would breach carrier rules, expose other customers, or break the law. We will tell you why, and restore access once it is resolved where that is possible.

Your data

Your business data and your customers’ data remain yours. You grant us the licence needed to operate the service for you — to store, process, and transmit that data — and nothing more. We do not sell it. You can request an export or deletion as described in the Privacy Policy. On termination we will provide an export on request within a reasonable period, then delete or minimize what we hold, keeping only the consent, billing, security, and legal-hold records that policy describes.

Availability

We work to keep Lithic running and monitor it continuously, but we do not currently offer a contractual uptime guarantee, and the service depends on providers we do not control — telephone carriers, Google, Stripe, and our hosts among them. Lithic is not an emergency service. It must not be relied on to reach emergency responders, and it is configured to direct anyone describing a gas leak, carbon monoxide, fire, or other immediate danger to leave the area and call emergency services directly.

Warranties and liability

The service is provided “as is.” To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent the law allows, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits or lost business. Our total liability arising out of or relating to the service is limited to the fees you paid us in the twelve months before the event giving rise to the claim. Nothing here limits liability that cannot lawfully be limited, including for fraud or willful misconduct.

Indemnity

You will defend and indemnify us against third-party claims arising from your breach of these terms, your messaging without valid consent, the work your business performs, or content you direct Lithic to send.

Ending the agreement

You can cancel at any time from the billing settings in your portal; cancellation takes effect at the end of the paid period. We may terminate for a material breach that is not cured within thirty days of notice, or immediately in the suspension circumstances above. Sections that by their nature should survive — fees owed, data handling, liability, indemnity, and governing law — survive termination.

Changes to these terms

We may update these terms. If a change materially reduces your rights, we will give you notice before it takes effect, and continuing to use the service after that date means you accept it. The date at the top of this page always reflects the current version.

Governing law

These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules, and the state and federal courts located in Pennsylvania have exclusive jurisdiction over any dispute.
